<Payment>

• Minimum 30% down payment by T/T within 7 days of machine purchase reservation. If down payment is not received within 7 days, the machine purchase reservation will be purchased and back on the market for other buyers.
• Balance by T/T before shipment. Forfeit on the machine or fail to make the balance payment, down payment will be absorbed as penalty.

<Price>

• Prices shown on MachEx are intended as FOB TAIWAN and do not include sea freight, inland freight in destination country and value insurance. Any other shipment terms are purchased as options.
• Payment is valid only after our account has been credited and only in the amount of the credit.

<Passage of Risk/Shipment>

• Shipment is made in the absence of a contrary agreement and without obligation for the least costly method of shipment. In the absence of a special agreement, the supplier is free to choose the route and means of shipment. Shipment charges will be calculated at cost.
• The risk of coincidental destruction and coincidental deterioration of the goods is passed to the buyer upon delivery or, in the event of shipment, upon transfer of the goods to the shipping agent the carriers or to any other person or organization charged with shipment.
• Shipments are insured against “ALL RISK”. In case of damage, the buyer must notify immediately to the truck driver (in written on the consignment note) before leaving the buyer's Company.
  In case no notice is made, the supplier will not undertake to replace any damaged spare-parts at their charge.

<Retention of Title>

Title to the goods supplied shall remain the MachEx Until such time as the buyer makes payment in full. The buyer shall take all necessary actions to ensure that MachEx in order to protect the property title hereof by any appropriate means under the law.

MachEx shall undertake, at the buyer's cost, all the legal formalities required to make this retention of title clause enforceable against third parties. The buyer shall promptly notify MachEx of any claim by third parties concerning the good subjects to retention of title.

Any breach of the obligations set forth in the above subsection or of the established terms of payment, eve for a single installment exceeding the eighth part of the agreed price, shall result in the immediate termination of this agreement. In such case, the amount already paid b the buyer shall be retained as indemnity to MachEx who may demand the return of the good supplied through a summary proceeding, without prejudice to any other right or remedy MachEx may have.

If the aforesaid termination clause is not enforced, MachEx may declare the entire price immediately due and payable, pursuant to acceleration upon the buyer's default.

<Governing Law>

The Agreement is governed by the Taiwan law. Any dispute concerning the interpretation and application of this Agreement shall be settled by the Court of Taiwan.
